1. JURIDICAL PREAMBLE, CONTRACTUAL ACCEPTANCE AND BINDING COVENANT

These General Terms, Conditions of Use and Editorial Platform Covenant constitute a binding electronic, contractual and legally enforceable arrangement between Kubza Private Limited, operating its brand The Eminent News (TEN), and every person who accesses, browses, registers, subscribes, contributes, edits, uploads, publishes, advertises, communicates with or otherwise uses the Platform. By accessing or using the Platform, the User, Editor, Creator, Contributor, Advertiser or any other participant irrevocably acknowledges that these Terms have been read, understood, accepted and agreed to, together with the Privacy Policy, Disclaimer, Editorial Policy, Cookie Policy, Community Standards and any other policy notified by the Company.

2. DEFINITIONS, INTERPRETATIVE CANONS AND LEGAL CONSTRUCTION

Company, Kubza, we, us and our shall mean Kubza Private Limited. TEN or The Eminent News shall mean the operating brand, digital publication and knowledge platform controlled by the Company. Platform shall include www.eminentnews.in, www.eminentnews.com, dashboards, newsletters, social media channels, creator tools, web forms, comment systems and any associated digital services. User means any reader, visitor, subscriber, account holder, commenter or person accessing the Platform. Editor means any person authorized to review, verify, moderate, alter, approve, reject or publish content. Creator or Contributor means any author, journalist, writer, educator, freelancer, intern, columnist, media professional, guest writer or third party submitting any material for publication or use.

3. CORPORATE PERSONALITY, BRAND STEWARDSHIP AND AUTHORITY

The Eminent News is operated, administered and juridically controlled by Kubza Private Limited, CIN U58130UP2025PTC239642, having its business address at Gorakhpur, Uttar Pradesh, India . All brand assets, editorial systems, platform infrastructure, content management processes, publication workflows and public communications of TEN are subject to the legal supervision, business control and governance authority of Kubza Private Limited.

4. ELIGIBILITY, CAPACITY AND AUTHORITY TO CONTRACT

The Platform is intended for persons having lawful capacity to enter into binding obligations. Where a person accesses the Platform on behalf of a company, institution, media entity, agency, advertiser, creator group or third party, such person represents that he or she is duly authorized to bind such entity. Minors may access educational and general information content only under the lawful supervision of a parent or legal guardian. The Company may restrict, suspend or terminate access where age, capacity, authority, consent or lawful eligibility is doubtful.

5. NATURE OF PLATFORM AND EDITORIAL CHARACTER

TEN is a digital news, current affairs, public information, general knowledge, educational, examination update, editorial, magazine, podcast and knowledge dissemination platform operating under the brand philosophy Empowering Wisdom. The Platform may publish national news, world affairs, government scheme updates, economy and business updates, legal and judicial updates, social justice matters, internal security matters, environmental issues, technology, sports, entertainment, education, examination updates, analysis, interviews, editorials, opinion pieces and similar content.

6. PERMITTED USE AND REVOCABLE PLATFORM LICENCE

Subject to continued compliance with these Terms, the Company grants the User a limited, revocable, non-exclusive, non-transferable and non-sublicensable licence to access and use the Platform for lawful personal, educational, informational and non-commercial purposes. No User shall acquire ownership, proprietary title, intellectual property right, commercial exploitation right, editorial right, archival right or platform administration right merely by accessing, reading, sharing, commenting, subscribing or using the Platform.

7. ACCOUNT REGISTRATION, CREDENTIALS AND SECURITY UNDERTAKING

Where account registration, author login, editor dashboard, subscriber access or creator profile functionality is provided, the registrant shall furnish true, accurate, current and lawful information and shall keep such information updated. Every account holder shall be solely responsible for maintaining confidentiality of passwords, access tokens, login credentials, administrative privileges and devices. Any unauthorized access, compromise, misuse or suspected breach must be immediately reported to the Company.

8. USER OBLIGATIONS AND COVENANT OF LAWFUL CONDUCT

a. Use the Platform only for lawful, bona fide and non-abusive purposes. b. Avoid posting or transmitting defamatory, hateful, obscene, infringing, fraudulent, malicious, misleading, unlawful or socially harmful material. c. Do not scrape, harvest, extract, copy, crawl, mine, sell, profile or misuse user data, creator data, editor data or platform records. d. Do not impersonate any person, misrepresent affiliation, manipulate content, interfere with security or attempt unauthorized access. e. Do not upload malware, malicious code, bot traffic, spam, deceptive links, phishing material or any technically harmful component.

9. EDITORS, MODERATORS AND ADMINISTRATIVE PERSONNEL

Editors, moderators and administrative personnel shall operate strictly within the access level, editorial mandate and compliance instructions provided by the Company. They shall maintain confidentiality of user data, creator data, unpublished drafts, internal comments, credentials, source communications, legal notices, takedown requests and privileged records. Unauthorized copying, export, disclosure, sale, alteration, suppression, publication or misuse of internal data, drafts, user records or editorial materials shall constitute a material breach and may invite access revocation, contractual termination, damages, injunction and legal proceedings.

10. CREATORS, AUTHORS, JOURNALISTS AND CONTRIBUTORS

Creators and Contributors submitting content to the Platform represent that they possess lawful authority, originality, necessary rights, licences, releases and permissions for the content submitted by them. Every Creator warrants that submitted material is not plagiarized, defamatory, obscene, infringing, misleading, fabricated, malicious, unlawful or violative of privacy, publicity, personality, copyright, trademark, confidentiality or any thirdparty right.

11. CONTENT SUBMISSION, EDITORIAL REVIEW AND PUBLICATION DISCRETION

Submission of any article, note, report, image, video, audio, document, comment, post, opinion, profile, biography or other material does not create any obligation upon the Company to publish, retain, display, promote or remunerate such material. The Company reserves full editorial discretion to verify, review, edit, translate, modify, headline, categorize, reject, approve, publish, archive, de-index, restrict, retract, correct or remove any content in accordance with law, editorial standards, platform requirements and public-interest considerations.

12. LICENCE GRANTED BY USERS AND CREATORS

By submitting content to the Platform, the User or Creator grants the Company, to the maximum extent permitted by law, a worldwide, perpetual, royalty-free, transferable, sublicensable, non-exclusive licence to host, store, reproduce, edit, adapt, translate, publish, distribute, display, communicate to the public, archive, promote and otherwise use such content in connection with the Platform and related channels. Moral rights, author attribution, copyright ownership and creator rights shall be respected to the extent mandated by applicable law; however, the Creator consents to reasonable editorial modifications, formatting, moderation and platform adaptation.

13. INTELLECTUAL PROPERTY, TRADE MARKS AND PROPRIETARY RIGHTS

All rights, title and interest in the TEN brand, website layout, platform architecture, compilations, databases, graphics, templates, logos, design, editorial systems, content arrangement, know-how and proprietary materials shall remain vested in Kubza Private Limited or its licensors. No person shall copy, reproduce, frame, mirror, modify, reverse engineer, distribute, commercially exploit, remove notices from or create derivative works from the Platform or its content except where expressly authorized in writing or permitted by law.

14. NEWS, EDUCATIONAL AND PUBLIC-INTEREST CONTENT DISCLAIMER

Content published on the Platform is provided for news, educational, informational, awareness and general knowledge purposes. It shall not be construed as legal, financial, medical, investment, recruitment, professional, governmental, examination, admission, tax or career advice unless expressly stated and issued by a qualified professional. Users shall independently verify important information, official notifications, examination deadlines, government schemes, legal updates, recruitment details, results, eligibility criteria and third-party claims from official sources before acting upon the same.

15. EXAMINATION, EDUCATION AND ASPIRANT-FOCUSED CONTENT

Where the Platform provides examination updates, current affairs, general knowledge, study material, quizzes, magazines, notes or educational references, such content is intended to assist learning and awareness only. The Company does not guarantee selection, ranking, examination success, marks, eligibility, admission, employment, scholarship, official recognition, completeness of syllabus coverage or accuracy of third-party examination timelines.

16. ACCURACY, CORRECTIONS, RETRACTIONS AND TAKEDOWN MECHANISM

The Company may, at its discretion, correct, update, annotate, withdraw, de-index, redact, archive, restrict or remove content upon discovery of error, legal infirmity, privacy concern, intellectual property claim, court order, government direction, regulatory requirement or editorial necessity. Requests for correction, rectification, reply, takedown or legal review may be submitted to the contact details stated herein, with sufficient identification of the content, grounds of objection and supporting documents.

17. USER-GENERATED CONTENT AND PUBLIC VISIBILITY

Comments, replies, user profiles, creator bios, public posts and published submissions may be visible to other users, search engines, third-party platforms and the general public. Users must not publish confidential information, sensitive personal data, private communications or third-party data without lawful basis. The Company may moderate, hide, edit, block, disable or remove user-generated content that is abusive, unlawful, infringing, spam-oriented, irrelevant, defamatory, obscene, hateful, misleading or contrary to platform decorum.

18. COMMUNITY STANDARDS AND PROHIBITED PUBLICATIONS

a. Content promoting terrorism, violence, child sexual abuse material, rape threats, cybercrime, self-harm, unlawful discrimination, communal hatred or public disorder is strictly prohibited. b. Content infringing copyright, trademark, privacy, confidentiality, personality rights or reputation of any person is prohibited. c. Content involving misinformation, deepfake manipulation, synthetic media deception, fake documents, fake credentials or fraudulent representation is prohibited. d. Content containing spam, mass solicitation, unauthorized advertising, malicious links or deceptive redirection is prohibited.

19. ARTIFICIAL INTELLIGENCE, SYNTHETIC MEDIA AND MANIPULATED CONTENT

Users, Editors and Creators shall disclose material use of artificial intelligence, synthetic media, deepfake tools, automated generation, digitally manipulated images, AI voice, synthetic video or similar technologies where such disclosure is required by law, platform policy or editorial standards. The Company may label, restrict, reject, moderate or remove synthetic, manipulated or AI-generated content where it may mislead users, infringe rights, violate law, impair editorial integrity or create public harm.

20. THIRD-PARTY SOURCES, EXTERNAL LINKS AND EMBEDDED MATERIAL

The Platform may refer to, cite, embed, quote, link to or display third-party websites, social media posts, government portals, educational portals, news sources, videos, advertisements, tools, widgets or external materials. Such third-party material is controlled by independent parties. The Company does not assume responsibility for third-party accuracy, legality, privacy practices, cookies, tracking, availability, security, advertisements or content quality.

21. ADVERTISING, SPONSORED CONTENT AND COMMERCIAL COMMUNICATIONS

The Platform may display advertisements, sponsored content, brand promotions, affiliate references, campaigns, notices, paid partnerships, advertorial content or commercial communications. Where legally or editorially required, sponsored or promotional content may be identified as such. Advertisers and sponsors shall be responsible for legality, accuracy, substantiation, intellectual property compliance and consumer protection compliance of their representations.

22. SUBSCRIPTIONS, PAID SERVICES, PAYMENTS AND REFUNDS

If the Platform offers paid subscriptions, digital products, magazines, creator services, advertising packages, events, courses, memberships or other paid services, the applicable price, tax, payment terms, access duration, cancellation terms and refund rules shall be separately displayed or communicated. Unless expressly stated otherwise, digital access, publication services, advertisements, downloadable products, customized content, event registrations and already-rendered services may be non-refundable, subject to applicable consumer law and specific written terms.

23. PRIVACY, DATA PROTECTION AND INFORMATION GOVERNANCE

All collection, use, storage, sharing, retention and deletion of personal data shall be governed by the Privacy Policy and Data Protection, Privacy and Information Governance Policy of TEN as issued by Kubza Private Limited. Use of the Platform signifies acceptance of lawful data processing practices, cookies, analytics, communication records, security logs, moderation logs and other processing activities described in the Privacy Policy, subject to applicable law.

24. COOKIES, ANALYTICS AND TECHNICAL INFRASTRUCTURE

The Platform may use cookies, pixels, scripts, tags, local storage, analytics tools, security plugins, content delivery networks and similar technologies for login, comments, analytics, personalization, spam prevention, performance, advertising and security. Users may manage cookies through browser settings, but disabling cookies may affect login, comments, preferences, embedded content and user experience.

25. SUSPENSION, RESTRICTION, TERMINATION AND ACCESS REVOCATION

The Company may suspend, restrict, terminate, revoke, downgrade or block access to the Platform, account, dashboard, editor panel, creator profile, comment facility, subscription or service where there is breach of these Terms, law, editorial policy, security policy or acceptable use standards. The Company shall not be liable for any loss of access, content visibility, ranking, traffic, revenue, opportunity, profile value or reputation arising from lawful moderation, security action, policy enforcement or termination.

26. NOTICE AND TAKEDOWN FOR INTELLECTUAL PROPERTY OR LEGAL CLAIMS

Any person claiming infringement of copyright, trademark, publicity rights, privacy rights, confidentiality, defamation, impersonation or other legal right may submit a written notice identifying the content, URL, legal grounds, ownership documents, authorization proof and contact details. The Company may seek clarification, remove content, restrict access, notify the uploader, request counter-submission, preserve records, report unlawful activity or take any action considered appropriate under law and platform policy.

27. NO WARRANTIES AND PLATFORM AVAILABILITY DISCLAIMER

The Platform is provided on an as-is and as-available basis without warranties of uninterrupted operation, error-free access, non-infringement, completeness, merchantability, fitness for a particular purpose, accuracy, timeliness, cyber security or suitability for any user objective. The Company may modify, suspend, discontinue, migrate, update, remove, restrict or restructure any feature, page, content category, editor tool, creator tool or service at any time without liability.

28. INDEMNITY AND HOLD-HARMLESS COVENANT

Users, Editors, Creators, Contributors, Advertisers and Partners shall indemnify, defend and hold harmless Kubza Private Limited, The Eminent News, its directors, officers, employees, consultants, contractors, service providers and affiliates from any claim, loss, damage, penalty, cost, expense, liability or proceeding arising out of their breach of these Terms, unlawful content, infringement, misrepresentation, data misuse, confidentiality breach, third-party claim or violation of law. The indemnity shall survive termination of account, withdrawal of content, cessation of use and expiry of any engagement.

29. LIMITATION OF LIABILITY AND EXCLUSION OF CONSEQUENTIAL DAMAGES

To the maximum extent permitted by applicable law, the Company shall not be liable for indirect, incidental, special, punitive, exemplary or consequential damages, loss of profits, loss of data, loss of goodwill, loss of opportunity, loss of traffic, examination failure, business interruption or third-party claim arising out of or related to Platform use. The aggregate liability of the Company, if any, shall be limited to the amount actually paid by the concerned claimant to the Company for the specific paid service giving rise to the claim during the three months preceding the event, unless such limitation is prohibited by law.

30. FORCE MAJEURE AND TECHNOLOGICAL CONTINGENCIES

The Company shall not be responsible for delay, failure, suspension, data loss, access disruption or non-performance caused by events beyond reasonable control, including cyberattacks, server failures, internet outages, cloud provider failure, legal restrictions, government action, strikes, natural disaster, war, epidemic, payment gateway failure or third-party platform disruption. The Company may take reasonable measures to restore services, but does not guarantee uninterrupted continuity or immediate restoration.

31. GOVERNING LAW, JURISDICTION AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of India. Subject to arbitration or other dispute mechanisms expressly adopted by the Company, courts having competent jurisdiction in Uttar Pradesh, India, shall have jurisdiction over disputes arising from or relating to these Terms or the Platform. The Company may, before litigation, require good-faith negotiation or mediation. Where a written arbitration clause is separately agreed, disputes shall be resolved in accordance with the Arbitration and Conciliation Act, 1996, at a seat and venue determined by the Company or mutually agreed by the parties.

32. LEGAL NOTICES, GRIEVANCE REDRESSAL AND AUTHORIZED COMMUNICATION

All legal notices, grievances, takedown requests, privacy communications, creator disputes, editor access concerns, consumer complaints and contractual communications shall be sent to Kubza Private Limited, Operating Brand: The Eminent News (TEN), Gorakhpur, Uttar Pradesh, India, Email: contact@eminentnews.in / Kubzagroup@gmail.com, Grievance Officer / Authorized Contact Person: Mr. Anoop Shrivastava, Designation: Director, Email: contact@eminentnews.in. The Company may verify identity, authority and supporting documents before acting upon any request.

33. AMENDMENT, REVISION AND POLICY SUPREMACY

The Company reserves the right to amend, modify, supplement, replace, suspend or withdraw these Terms at any time. Updated Terms shall become effective upon publication, unless a later effective date is specified. In case of conflict between these Terms and a specific signed agreement, the signed agreement shall prevail for the specific subject matter only. In case of conflict between these Terms and mandatory law, mandatory law shall prevail to the limited extent required.

34. SEVERABILITY, WAIVER AND ASSIGNMENT

If any provision of these Terms is held invalid, unlawful or unenforceable, the remaining provisions shall continue in full force, and the invalid provision shall be replaced or interpreted to achieve the closest lawful commercial and legal intent. No waiver by the Company shall be deemed a continuing waiver. Users may not assign rights or obligations without written consent of the Company. The Company may assign, transfer or novate its rights and obligations in connection with business restructuring, merger, acquisition, brand transfer or platform reorganization.

35. ENTIRE AGREEMENT AND BINDING EFFECT

These Terms, together with the Privacy Policy, Disclaimer, Editorial Policy, Cookie Policy, Community Standards, subscription terms, creator agreements, advertising terms and any specific written agreement, constitute the entire operative arrangement governing Platform use. Continued access, browsing, registration, subscription, commenting, editing, uploading, creation, publication, advertising or participation shall constitute acceptance, acknowledgement and binding consent to these Terms.

Reference to any statute, regulation or foreign framework shall not be construed as an admission of universal applicability.
